Your Rights Under Australian Consumer Law
Our products and services come with guarantees that cannot be excluded under the Australian Consumer Law. For major failures with a service, you are entitled to cancel your service contract and receive a refund for the unused portion, or to compensation for its reduced value. You are also entitled to compensation for any other reasonably foreseeable loss or damage. If the failure does not amount to a major failure, you are entitled to have the problem remedied within a reasonable time.
For further information about your consumer rights, visit the Australian Competition and Consumer Commission at accc.gov.au.
Sales
Pricing and Currency
All prices listed on our website are in Australian Dollars (AUD) and are subject to change.
Prices listed on our website are ex-GST. GST of 10% applies to Australian customers and will be added to your invoice. The GST-inclusive amount will be shown on all quotes and invoices issued to Australian customers.
If you are making payment from outside Australia, you may wish to use a currency converter as an approximate guide only. Conversions are shown using mid-market rates for reference only — all invoices are issued in AUD.
Payment Terms
All invoices and quotes are valid for 30 days from the date of issue, or until the COVER expiry date, whichever is sooner.
Exception: Training registration invoices are valid for 48 hours from the date of issue. Payment must be received within this period to secure your delegate's place.
We only accept payment in advance:
- before your software licence details are sent to you,
- before your subscription licence is activated,
- before your COVER is renewed, or
- before a delegate's position in a SIDRA online training program can be confirmed.
For the full list of payment methods and how invoices are issued, see Payment Options.
Remittance Advice
Please send your Remittance Advice to us via Sales Enquiries.
Refunds — Software and COVER
A free 14-day evaluation licence is available so you can assess SIDRA software before purchasing. We encourage you to make use of this before committing to a licence purchase or subscription.
Software licences, COVER subscriptions and Subscription Licences are non-refundable once issued or activated, including for any unused portion of a subscription period. We do not issue refunds where you change your mind or make a wrong purchasing decision. This does not prevent a pro-rata credit being applied towards an upgrade to a higher-tier Subscription Licence during the Subscription Period — see Subscription Upgrades below. The pro-rata credit is not a refund. It is applied solely towards the price of the upgraded Subscription Licence and does not give rise to any entitlement to a monetary refund of the unused portion of the original Subscription Period.
Nothing in this policy limits any rights you may have under the Australian Consumer Law. If the software has a major failure, is not fit for the purpose for which it was supplied, or is not as described, you may be entitled to a remedy, which may include a refund. Please contact us to discuss any such claim.
Refunds — Training
Training registration fees are non-refundable.
Another delegate may be substituted for the same online training module or program free of charge. Please contact us about delegate substitution in advance. Transfer of a registration between modules or programs is not permitted.
SIDRA Resellers
Resellers must not charge the end user above SIDRA SOLUTIONS' current prices for the relevant licence product, including Subscription Licences. Published prices are available at sidraintersection.com. For licence products that are quote-based, resellers must not charge above the price quoted by SIDRA SOLUTIONS for that customer.
Resellers may charge the end user a separate service fee for their reseller services. This fee must be disclosed to the end user before purchase and quoted separately — it must not be incorporated into or presented as part of the SIDRA SOLUTIONS licence price.
The SIDRA SOLUTIONS Software Licence Agreement applies directly between SIDRA SOLUTIONS and the end user, regardless of whether the licence was purchased through a reseller. Resellers do not have authority to vary, waive, or add to the terms of the Software Licence Agreement.
Nothing in these terms limits any rights the end user may have under the Australian Consumer Law in connection with a purchase made through a reseller.
Software Trial
A temporary evaluation licence is available for organisations and individuals who wish to assess SIDRA INTERSECTION before purchasing. The evaluation licence provides full software functionality for the duration of the trial period.
Permitted use: The evaluation licence is strictly for the purpose of assessing the software's suitability for purchase. It may also be used for academic and research purposes, software testing, or training purposes. It must not be used for any of the following:
- income-generating projects or commercial work of any kind
- work undertaken on behalf of a client or third party
Eligibility: An evaluation licence will only be issued to prospective purchasers who do not currently hold a valid licence for the current version of SIDRA INTERSECTION. Evaluation licences are issued once only per organisation.
Licence period: The evaluation licence expires 14 days from the date of issue and will cease to function at expiry. The licence period is not extendable.
Use at own risk: The evaluation licence is provided free of charge. To the extent permitted by law, the software is provided as-is during the evaluation period and no warranties are given in respect of its fitness for any particular purpose.
Request process: To request an evaluation licence, please contact us. Approval is at SIDRA SOLUTIONS' discretion.
COVER Subscription
COVER is an annual support and upgrade subscription for perpetual licence holders (1PC, SINGLE and FLOATING Licences). COVER does not apply to Subscription Licences — all support and version upgrade entitlements are included within the Subscription Licence for the duration of the Subscription Period. See Subscription Licences below.
COVER Conditions
The following conditions apply to provision of support services for SIDRA SOLUTIONS software and free upgrades to major versions of the software:
- COVER subscription and COVER renewal are available for the Current Version only (therefore "valid COVER" is associated with the Current Version only).
- A COVER subscription fee is charged per software licence product purchased. This fee is included in the licence purchase price.
- The COVER renewal period is 12 months.
- Unless different arrangements are made during purchase, a 12-month COVER period begins from the purchase date of the licence product.
- Renewal dates are calculated as follows:
- from the expiry date of the current COVER, in the case of COVER renewal before expiry, or
- from the COVER renewal date in the case of COVER renewal after expiry.
- A licence holder with valid COVER at time of a new major version release of the software will be given a free upgrade.
- Technical and licensing support services will be provided for the Current Version of the software product under valid COVER only.
- There are no upgrades or downgrades for COVER. COVER fees are non-refundable except where required under the Australian Consumer Law.
Type of Support
COVER benefits include the following support types:
- Free licensing and sales support.
- A reasonable amount of technical support limited to making the software product operate on the Licensee's computer system, provided the Licensee's computer system is compatible with the Software as specified under the SYSTEM REQUIREMENTS and is operating in accordance with its specifications.
- A reasonable amount of support towards the analysis of results produced by the software product.
- Investigation of example files that fail to run or produce unexpected results.
- Investigation of software processing errors.
COVER does not include assistance for the normal use of the Software such as coding of the input.
Version Status
An essential part of the licence management for SIDRA SOLUTIONS software products is the version status. We have defined versions of our software as follows:
- Current Version – Latest released version of the software.
- Previous Version – The version previous to the Current Version.
- Old Version – Any version older than the Previous Version.
The three version status levels determine if COVER is available, the type of support, and the type of support fees, as listed in the table below.
| Version Status | COVER Availability | Support Status | Support Fee |
|---|---|---|---|
| Current Version | Yes | Full | Free with Valid COVER |
| Previous Version | NA | Case based | Case based |
| Old Version | NA | NA | NA |
Visit our docs site to view the Current Versions of our software.
Note for Subscription Licence holders: Version access under a Subscription Licence is not governed by COVER. Subscription holders have access to the Current Version at the time of purchase, plus any new Major Versions released during the Subscription Period, subject to the version availability conditions set out in Subscription Licences — Version Access below.
Support Status and Support Fee
Full support is given to the Current Version of our software only. If you have valid COVER, this support is free.
We only provide provisional support for the Previous Version of our software and a support fee may be charged. This determination is made on a case-by-case basis.
We do not support Old Versions of our software.
Version Status Changes at Time of a Major New Release
This section applies to perpetual licence holders with COVER only. For Subscription Licence version access, see Subscription Licences — Version Access below.
Licences with valid COVER at the time of the release of a new major version will be replaced with a free upgrade licence to the Current Version with the following consequences:
- COVER renewal is available for the Current Version only (therefore "valid COVER" becomes associated with the Current Version only), and
- for Previous and Old Version licences, purchase of a new licence is needed.
Free Upgrade at Time of a Major New Release
Customers with valid COVER at time of a major software release will be given a free upgrade to the new version. If you have been issued a SIDRA INTERSECTION free upgrade, a new Licence ID number for the new product will be included and is viewable in your STORE ACCOUNT.
FLOATING Licences
You can keep using the same log-in credentials to request a FLOATING Licence Seat in the new major version software. The new major version (i.e. the Current Version) and the Previous Version of the software will share the Licence Seats in your FLOATING Licence.
1PC and SINGLE Licences
Country-based Licence
1PC and SINGLE Licences can only be used in the country to which the licence was purchased. In the case of multi-national organisations, purchase of additional licences or a special agreement is required for use of the Software in additional countries where the Licensee's organisation has offices.
Lifespan of a 1PC or SINGLE Licence
A 1PC or SINGLE licence continues in perpetuity. However, Old Version 1PC and SINGLE Licences are not supported.
Read: Terms for COVER
FLOATING Licences
Global-use Licence
The FLOATING Licence can be used at any office of your organisation, anywhere in the world. Global licence restrictions do not apply for this licence type.
Lifespan of a FLOATING Licence
A FLOATING Licence provides access to the Current Version and the Previous Version of the Software. When a new Major Version is released, access to Old Versions will be removed. Old Version FLOATING Licences will cease to function.
Version status is defined under COVER Subscription — Version Status above.
Subscription Licences
Overview
A Subscription Licence grants access to the Software for a fixed Subscription Period. The Subscription Licence replaces the requirement for a separate licence purchase and COVER subscription — all software access, support entitlements, and version upgrades are included within the Subscription Licence for the duration of the Subscription Period.
Subscription Period
The Subscription Period is twelve (12) months from the date of payment. The Licensee's access to the Software is conditional on maintaining a current Subscription Period.
There is no automatic renewal. The Licensee must renew the Subscription Licence before the expiry of the current Subscription Period to maintain uninterrupted access to the Software.
Types of Subscription Licence
Two types of Subscription Licence are available:
- Personal Subscription Licence. A Personal Subscription Licence is issued to one named individual end user. The licence is cloud-based and may be used on any computer, anywhere in the world, but only by the named end user. A Personal Subscription Licence cannot be shared with or transferred to another individual during the Subscription Period. The end user logs in via their individual credentials. Global licence restrictions do not apply to this licence type.
- Team Subscription Licence. A Team Subscription Licence is issued to an organisation and provides a set number of Seats that may be shared by end users within that organisation on a first come, first served basis. The organisation's administrator manages end user access. A Team Subscription Licence may be used at any office of the Licensee's organisation, anywhere in the world. Global licence restrictions do not apply to this licence type.
Subscription Upgrades
A Licensee may upgrade from one Subscription Licence type to a higher-tier Subscription Licence type during a current Subscription Period (for example, from a Personal Subscription Licence to a Team Subscription Licence).
Where an upgrade is requested, a pro-rata credit for the unused portion of the existing Subscription Period will be calculated and applied towards the annual price of the new Subscription Licence. The Licensee must pay the difference between the credit amount and the new Subscription Licence price before the upgraded licence is activated. The upgraded Subscription Licence commences a new twelve (12) month Subscription Period from the date of payment. The pro-rata credit is not a refund. It is applied solely towards the price of the upgraded Subscription Licence and does not give rise to any entitlement to a monetary refund of the unused portion of the original Subscription Period.
Subscription upgrades are processed by SIDRA SOLUTIONS on request. Please contact our sales office to arrange an upgrade.
Downgrades to a lower-tier Subscription Licence during a current Subscription Period are not available. A Licensee wishing to move to a lower-tier licence may do so at the time of renewal.
Version Access
While the Subscription Period is current, the Licensee has access to the version of the Software that was the Current Version at the time of purchase, and any new Major Versions released during the Subscription Period.
Access to a version is provided while SIDRA SOLUTIONS makes that version generally available. SIDRA SOLUTIONS does not undertake that any particular version will remain available for the whole of the Subscription Period, and may, at its discretion, withdraw, supersede or decline to provide a specific version for technical, security, compatibility or operational reasons. Where a version is withdrawn, the Licensee retains access to the versions SIDRA SOLUTIONS continues to make available.
This discretion applies to Previous Versions and Old Versions only. It does not affect the Licensee's access to the Current Version.
Where a Subscription Licence provides access to multiple versions of the Software, all versions share the same Seat allocation. The total number of concurrent end users across all accessible versions must not exceed the number of Seats included in the Subscription Licence.
Support
A current Subscription Licence includes the following entitlements for the duration of the Subscription Period:
- Access to the Software, including all versions the Licensee is entitled to access.
- Free access to new Major Versions released during the Subscription Period, subject to the version availability conditions set out under Version Access above.
- Full technical support for the Current Version of the Software, as described in the support terms published by SIDRA SOLUTIONS.
- Licensing and sales support.
Support for the Previous Version may be available on a case-by-case basis and may be subject to a support fee. SIDRA SOLUTIONS does not provide bug fixes or software patches for versions other than the Current Version.
COVER and Subscription Licences
COVER does not apply to Subscription Licences. The Subscription Licence replaces the requirement for a separate COVER subscription. All entitlements that would otherwise be provided under COVER — including technical support and access to new Major Versions — are included within the Subscription Licence for the duration of the Subscription Period.
Expiry and Lapse
If the Subscription Licence is not renewed before or at the expiry of the Subscription Period, the Licensee's access to all versions of the Software will cease. The Licensee will no longer be able to open or run any version of the Software. No grace period applies.
Project files created by the Licensee using the Software are the property of the Licensee. Project files are stored in locations selected or controlled by the Licensee, including on local devices, network drives, servers, cloud storage, backup systems, or other storage environments, and are not affected by the expiry or lapse of a Subscription Licence. The Licensee retains full ownership of their project files at all times.
If a Subscription Licence lapses, the Licensee may purchase a new Subscription Licence to regain access to the Software. A new subscription starts access to the Current Version of the Software at the time of re-subscription and does not restore access to Previous or Old versions. SIDRA SOLUTIONS may, at its discretion, apply a different fee for licences that have lapsed beyond a specified period.
No Perpetual Right
A Subscription Licence does not confer any perpetual right to use the Software. The right to use the Software exists only for the duration of a current Subscription Period. The Subscription Licence is not transferable to another party without the written consent of SIDRA SOLUTIONS.
Educational Subscription Licences
Two educational subscription options are available: Educational Personal Subscription Licence (for individual academics) and Educational Lab Subscription Licence (for teaching labs). Both are available to recognised universities, research institutions and TAFEs at reduced pricing, subject to the educational licence conditions set out in the SIDRA SOLUTIONS Software Licence Agreement. The conditions applying to educational licences — including non-commercial use only, 10-site network limit, and watermarked output — apply equally to educational Subscription Licences.
Existing time-limited Educational Special and Educational 1PC Licences will transition to an Educational Lab Subscription Licence or Educational Personal Subscription Licence upon payment of a subscription fee at the time of renewal.
Project Files and Version Compatibility
Project files created using the Software are the property of the Licensee. Project files are stored in locations selected or controlled by the Licensee, including on local devices, network drives, servers, cloud storage, backup systems, or other storage environments. Project files are not affected by the expiry or lapse of any licence or subscription, including a Subscription Licence. The Licensee retains full ownership of their project files at all times.
SIDRA SOLUTIONS provides file conversion tools to enable project files created in older versions of the software to be opened in the Current Version. Conversion utilities and instructions are available on the SIDRA SOLUTIONS website. SIDRA SOLUTIONS does not guarantee that conversion tools will be available for all historic file formats indefinitely.
SIDRA API
Licence Requirement
A licensed copy of the Software is required by the Licensee and each end user where the Software is being accessed via its Application Programming Interface (API), including usage through software linking provided in another vendor's product. The API may only be used in conjunction with a validly licensed installation of the Software.
Grant of API Access
The Software API allows the development of programs that link to the Software for use under the SIDRA SOLUTIONS Software Licence Agreement. The provision of access to the Software API is a non-exclusive, limited, non-transferable and non-sublicensable right of use which does not create or imply any partnership, agency, or joint venture between SIDRA SOLUTIONS and the Licensee.
Intellectual Property
The Software API, including its assemblies, documentation, sample code and associated materials, remains the intellectual property of SIDRA SOLUTIONS. Nothing in the SIDRA SOLUTIONS Software Licence Agreement transfers any ownership of the API or its components to the Licensee. The Licensee retains ownership of the application code they develop using the Software API, but not of the API itself or any portion of the Software.
Acceptable Use
The Licensee must not:
- redistribute, sublicence, or make available the API assembly or any part of it to any third party, except as embedded within the Licensee's own application in compiled form;
- use the API to circumvent, bypass, or extend any licensing restriction of the Software;
- use the API with an unlicensed, expired, or otherwise invalid copy of the Software;
- use the API to develop a product that replicates or competes with the core functionality of the Software; or
- remove or obscure any SIDRA SOLUTIONS branding, copyright notices, or attribution from output generated via the API.
Warranty Disclaimer
The Software API is provided by SIDRA SOLUTIONS on an as-is basis without any warranties, expressed or implied, save for those warranties as may be required by law. To the extent permitted by law, SIDRA SOLUTIONS does not warrant that the API will be error-free, uninterrupted, or compatible with the Licensee's application or environment.
Indemnity
In using the Software API, the Licensee agrees to indemnify and hold SIDRA SOLUTIONS harmless from any losses or claims by the Licensee or any third parties that may result from the use of an application developed by the Licensee or other software vendors that makes use of the SIDRA SOLUTIONS Software API.
Version Updates and Compatibility
The Software API is updated for each major version of the Software by SIDRA SOLUTIONS. Major version updates may include changes that are not backward compatible. The Licensee or other software vendors who develop applications using the Software API are responsible for updating their API programs to provide links to the latest version of the Software. SIDRA SOLUTIONS is not obligated to maintain backward compatibility between major versions of the API.
Support Scope
Where the Licensee holds a valid subscription (unexpired COVER or a current Subscription Licence), support for the Software API is limited to the API assembly itself and its documented functionality. SIDRA SOLUTIONS does not provide support for the Licensee's custom application code, third-party integrations, or issues arising from the Licensee's development environment.
Special Application Licence
If the Licensee's API application is intended for use in operational environments such as traffic management centres, traffic signal control systems, autonomous vehicles, or similar setups, a Special Application Licence may be required. The Licensee should contact SIDRA SOLUTIONS to determine whether a Special Application Licence applies to their intended use.
Termination of API Access
The Licensee's right to use the Software API is conditional on maintaining a valid licence for the Software. API access terminates automatically when the Licensee's licence for the Software is terminated, expires (in the case of a Subscription Licence), or is otherwise invalidated. SIDRA SOLUTIONS reserves the right to revoke API access where the Licensee is in breach of the SIDRA SOLUTIONS Software Licence Agreement.
